Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you ("you," "your," "Subscriber") and AlgoRhythmic LLC, a Nevada limited liability company ("AlgoRhythmic," "we," "us," "our"), the operator of the AlgoRhythmic service available at algorhythmic.art and related domains (the "Service").
By creating an account, accessing the Service, or paying for a subscription, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
AlgoRhythmic is a subscription-based web application that generates audio-reactive visual art in real time. The Service responds to audio input and produces evolving visual experiences using a combination of curated artwork and AI image generation.
We may modify, suspend, or discontinue features of the Service at any time. We will provide reasonable advance notice of material changes that affect paid subscribers.
3. Eligibility
You must be at least 18 years old to create an account or purchase a subscription. By using the Service, you represent that you are at least 18 and have the legal capacity to enter into this agreement.
4. Accounts
You create an account through our authentication provider. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@AlgoRhythmic.Art if you suspect unauthorized access.
You may not:
- Share your account credentials with others
- Create accounts using false information or impersonate another person
- Use automated means to access the Service except through interfaces we expressly provide
- Operate more than one account without our written permission
5. Subscriptions and Billing
5.1 Pricing and Plans
The current subscription is $14.99 USD per month and includes 100 AI-generated images per monthly billing period, plus unlimited access to the curated artwork library. Pricing and plan inclusions are described on the pricing page and may change with notice.
5.2 Billing Cycle
Subscriptions automatically renew each month on the anniversary of your initial subscription date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.
5.3 Payment Processor
Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store full payment card details on our systems.
5.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@AlgoRhythmic.Art. Cancellation takes effect at the end of the current billing period; you will retain access until that date. We do not provide refunds for partial billing periods.
5.5 Refunds
Subscription fees are non-refundable except where required by law. If you believe you have been charged in error, contact support@AlgoRhythmic.Art within 30 days and we will review the request in good faith.
5.6 Generation Allowance
The 100-image monthly allowance resets at the start of each billing period. Unused generations do not carry over. If you reach the cap before your renewal date, you will continue to have access to the curated library but new generations will be paused until renewal.
5.7 Price Changes
We may change subscription pricing with at least 30 days' notice. Price changes apply to the next billing period after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
5.8 Failed Payments
If a payment fails, we may suspend access to paid features until payment is resolved. We will attempt to notify you and retry the payment per our payment processor's standard procedures.
6. Generated Content and Ownership
6.1 Your License to Use Generated Images
When AlgoRhythmic generates an image in response to your session, you receive a non-exclusive, worldwide, royalty-free, perpetual license to use that image for personal and commercial purposes, including display, reproduction, modification, and distribution, subject to these Terms.
6.2 Our Retained Rights
We retain the right to display generated images within the Service, including in shared galleries, marketplace features, and curation pools, except where you have elected to make a specific image private through controls we provide.
6.3 No Exclusivity
AI image generation is non-deterministic but not unique. Similar prompts and audio contexts may produce visually related outputs for different users. We make no claim that any generated image is one-of-a-kind unless we explicitly provide an exclusivity feature for that image.
6.4 Compliance
You are responsible for ensuring your use of generated images complies with applicable law in your jurisdiction, including but not limited to copyright, publicity rights, and content restrictions on platforms where you publish them.
7. Audio Input
The Service responds to audio you provide, including microphone input or playback through your device. Audio processing occurs primarily within your browser for the purpose of driving real-time visual response. We do not record or retain audio content. Where the Service uses third-party audio identification services to enrich visualization, only derived metadata (such as track or genre identifiers) may be transmitted, not the audio itself.
You are responsible for ensuring that the audio you provide does not infringe the rights of any third party.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to generate content that is illegal, harassing, infringing, defamatory, or violates the rights of others
- Attempt to circumvent subscription limits, generation caps, or authentication
- Use automated tools to scrape or harvest data from the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service in a way that could damage, disable, or impair the Service
We may suspend or terminate accounts that violate these terms, with or without notice.
9. Intellectual Property
The AlgoRhythmic name, logo, software, design, curated artwork library, and Service architecture are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or copyrighted materials except as expressly stated.
10. Third-Party Services
The Service relies on third-party providers for authentication, payment processing, AI image generation, audio identification, and hosting infrastructure. We are not responsible for the availability, content, or actions of these third parties. Your use of their services may be subject to their own terms.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant the accuracy, quality, or suitability of any generated content for any particular use.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALGORHYTHMIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless AlgoRhythmic and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of the rights of any third party.
14. Termination
You may terminate your account at any time by canceling your subscription and contacting support@AlgoRhythmic.Art to request account deletion.
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or as required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after the effective date of changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Washoe County, Nevada.
17. Dispute Resolution
Before filing any formal claim, you agree to first contact us at support@AlgoRhythmic.Art and attempt to resolve the dispute informally for at least 30 days.
18. Miscellaneous
Entire Agreement. These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
No Waiver. Our failure to enforce any right does not waive that right.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
